End User License Agreement (EULA)

This End User License Agreement (Agreement) is a legally binding contract between the Licensor (a means to an end) and the Licensee. By downloading, installing, or using any Font Software provided by the Licensor, the Licensee accepts all terms of this Agreement. If the Licensee does not accept these terms, the Font Software must not be downloaded, installed, or used.

1. Definitions

1.1 font software

Refers to all digital typefaces, font files, font data, variable fonts, webfonts, file formats, digital assets, updates, extensions, and related materials provided by the Licensor.

1.2 Licensee

Refers to the individual or legal entity that has purchased or obtained rights to use the Font Software. This includes all employees, contractors, subsidiaries, affiliates, and agents of the Licensee unless explicitly stated otherwise.

1.3 All-in-One License

A unified commercial license model that permits multiple usage categories under a single purchase, contingent upon the License Size purchased.

1.4 License Size

Licensing tiers based on total company headcount, not the number of users of the Font Software:

S: 1–3 employees
M: 4–10 employees
L: 11–50 employees
XL: 51–100 employees
XXL: 501–1000 employees
3XL: 1001–5000 employees
4XL: 5001–10000 employees
Custom: 10000+ employees (upon request)

If the Licensee’s total headcount increases beyond the purchased tier, the Licensee must purchase an upgrade within 30 days.

2. Grant of License (All-in-One License)

Upon valid purchase, the Licensor grants the Licensee a non-exclusive, non-transferable, revocable right to use the Font Software for the following purposes, subject to compliance with all clauses of this Agreement.

2.1 Desktop Use

Creation of static design assets including print materials, packaging, visual identities, advertisements, motion graphics, and other non-embedded outputs.

2.2 Webfont Use

Self-hosted webfont embedding permitted only through formats and methods supplied by the Licensor. Redistribution to third parties is not permitted.

2.3 App and Software Embedding

Embedding of the Font Software in applications, games, interfaces, or software products owned and controlled by the Licensee. Third-party integrations require a separate license.

2.4 Digital Products and Publications

Embedding in digital publications, e-books, PDFs, downloadable products, or online documents, provided these products are owned by the Licensee.

2.5 Podcast, Broadcast & Motion

Use in audiovisual productions including titles, subtitles, credits, lower thirds, and branded visual materials.

2.6 Logo and Branding Use

Use of the Font Software for logos and brand identities is permitted. The Licensee must obtain written approval from the Licensor before filing for trademark registration of any mark containing the Font Software.

All uses not explicitly granted in this Agreement require a separate written license.

3. Trial License

Trial Font Software is provided exclusively for internal evaluation and testing. The following restrictions apply:

3.1 Trial Font Software may not be used for commercial purposes.
3.2 Trial Font Software may not be published, released, or used in public-facing applications.
3.3 Trial Font Software may not be used in client presentations, social media content, advertising, products, or any external communication.
3.4 Modification, conversion, renaming, or reverse-engineering of Trial Font Software is strictly prohibited.
3.5 Any commercial use of Trial Font Software without a valid license constitutes a breach of this Agreement and infringement of copyright law.

The Licensor may terminate access to Trial Font Software at any time.

  1. Student and Non-Profit Licensing

Discounted licenses are available for students enrolled at accredited institutions and for legally recognized non-profit entities. Such licenses:

4.1 allow non-commercial use only, unless explicitly approved;
4.2 may not be transferred to commercial projects or entities;
4.3 may not be used for revenue-generating or client-facing activities.

An upgrade to a commercial license is required prior to any commercial use.

5. Restrictions

5.1 Modification and Derivative Works

The Licensee may not modify, edit, convert, rename, decompile, extract, alter, or create derivative typefaces or software based on the Font Software.

5.2 Redistribution

The Licensee may not share, sublicense, resell, distribute, lend, gift, or make the Font Software available to third parties.
The Font Software must not be stored or placed in shared environments where unlicensed users may access it.

5.3 Political Use

The Font Software may not be used in political campaigns, political advocacy, political organizations, activism, ideological messaging, or any politically adjacent context without prior written approval from the Licensor.

5.4 Harmful or Inappropriate Use

The Font Software may not be used for purposes that promote violence, discrimination, hate, misinformation, unethical conduct, or any activity that the Licensor reasonably considers harmful to the reputation, integrity, or values of a means to an end.

6. Right of Revocation

The Licensor reserves the right to revoke the Licensee’s rights under this Agreement at any time, without refund, if:

6.1 the Licensee violates any term of this Agreement;
6.2 the Font Software is used in a political or harmful context without approval;
6.3 the Licensor determines that the usage materially damages or misrepresents the work, values, or reputation of the Licensor.

Upon revocation, the Licensee must immediately:

6.4 cease all use of the Font Software;
6.5 uninstall the Font Software from all devices;
6.6 remove the Font Software from all digital, printed, or published materials;
6.7 delete all copies including backups.

Continued use after revocation constitutes copyright infringement.

7. Intellectual Property

The Font Software is the exclusive property of a means to an end.
This Agreement grants rights of use only. Ownership is not transferred.

All rights not expressly granted remain with the Licensor.

8. Backups

The Licensee is permitted to create one secure backup copy of the Font Software.
This backup may not be shared, distributed, or used on additional devices.

9. Warranty and Liability

The Font Software is provided as-is without any express or implied warranty.
The Licensor is not liable for any damages including financial loss, data loss, interruption of business, or any consequential damages arising from the use or inability to use the Font Software.

The Licensee bears all responsibility for determining the suitability of the Font Software for any specific purpose.

10. Updates

The Licensor may provide updates at its discretion.
Installation of updates does not grant new usage rights or expansion of the purchased license.

11. Governing Law

This Agreement is governed by the laws of the country of residence of the Licensor unless superseded by mandatory local law.
